1. Agreement

These Terms and Conditions ("Terms") govern your access to and use of LEAP OS, the hosted business-operating-system software provided at os.leaptosolutions.com (the "Service"), operated by LEAP Solutions, LLC ("LEAP Solutions," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

2. Accounts and Eligibility

You must be at least 18 years old and have the authority to bind the organization you represent to these Terms. You are responsible for keeping your sign-in credentials secret and for all activity under your account. Notify us immediately at hello@leaptosolutions.com if you suspect unauthorized access.

3. Subscription, Plans, and Billing

• LEAP OS is sold as a subscription with monthly or annual billing. Your specific plan, modules, and price are shown on the Billing screen inside the app and on the order page where you signed up.
• Subscriptions renew automatically at the end of each term until you cancel. You can cancel at any time from inside the app; cancellation takes effect at the end of the current paid period.
• Fees are non-refundable except where required by law or as expressly stated in these Terms.
• If a payment fails, we may suspend your access until the balance is paid.

4. Your Data

The records you create or upload to LEAP OS — contacts, contracts, invoices, calendar events, messages, and so on — are your data. You retain all rights to it. You grant us a limited license to host, process, and display your data solely to provide the Service to you. We will not sell, rent, or share your data with third parties for their own marketing or advertising.

You can export your data at any time and request deletion as described in our Privacy Policy.

5. Connected Accounts (Google, Microsoft, Stripe, etc.)

LEAP OS lets you connect third-party accounts — for example, Google Calendar, Microsoft Outlook, or Stripe — to enable specific features. When you connect an account, you authorize LEAP OS to access only the scopes shown on the consent screen, and only while the connection is active. You can disconnect at any time from inside the app.

How we handle Google user data — including the limited-use commitments required by Google's API Services User Data Policy — is described in detail in Section 4 of our Privacy Policy.

6. Acceptable Use

You agree to use LEAP OS only for lawful purposes and in a manner that does not infringe anyone else's rights. You agree not to:

• Reverse-engineer, scrape, or attempt to derive the source code of LEAP OS
• Use LEAP OS to send spam, run unsolicited marketing, or violate anti-spam laws (CAN-SPAM, CASL, TCPA, GDPR, etc.)
• Upload malware, run denial-of-service activity, or interfere with other tenants of the Service
• Use LEAP OS to store data you are not authorized to store (for example, regulated health data unless we have a separate written agreement covering it)
• Resell access to LEAP OS without our written permission

7. AI Features

Some features inside LEAP OS use large language models (currently Anthropic's Claude). AI output may be inaccurate or incomplete. Always review AI-generated content (drafts, summaries, suggestions) before relying on it for business decisions, legal documents, or customer communication. We do not allow our AI vendors to use your inputs or outputs to train their models.

8. Intellectual Property

LEAP Solutions retains all right, title, and interest in the LEAP OS platform, the LEAP Solutions brand, our website content, and all related intellectual property. You may not copy, modify, or redistribute any part of the Service without our written permission. The license we grant you to use the Service ends when your subscription ends.

9. Service Availability

We aim for high availability but do not guarantee that the Service will be uninterrupted, error-free, or free of security vulnerabilities. We may schedule maintenance windows, deploy updates, and (rarely) experience outages caused by upstream providers. We will make reasonable efforts to notify you of significant planned downtime.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Any reliance you place on AI-generated output is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, LEAP Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amounts you have paid us for the Service in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

12. Termination

You can terminate at any time by canceling inside the app or emailing hello@leaptosolutions.com. We may suspend or terminate your access if you materially breach these Terms or use LEAP OS in a way that puts the Service or other tenants at risk. On termination, you may export your data within 30 days, after which we delete it as described in our Privacy Policy.

13. Changes

We may update these Terms from time to time. When we make material changes, we will update the "Effective" date at the top and notify active users by email. Continued use of the Service after an update means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Service will be resolved in the state or federal courts located in Berrien County, Michigan.
